
Membership Agreement
This Membership Agreement ("Agreement") is entered into as of the Effective Date by and between Just Drive Club Ltd. ("Company") and the undersigned member ("Member"). By enrolling in the membership program, the Member agrees to be bound by the terms and conditions of this Agreement.
1. Definitions
1.1 "Member" means any individual enrolling in the membership program for legal defense services. 1.2 "Services"refers to the legal defense assistance for traffic ticket cases provided through the Company’s network of qualified Canadian attorneys or licensed paralegals. 1.3 "Subscription Fee" is the monthly charge payable by the Member for access to the Services. 1.4 "Effective Date" is the date on which the Member completes the enrollment process and this Agreement becomes binding.
1.5 “Company is not a law firm and does not provide legal services or legal advice. All legal services are provided solely by independent lawyers or LSO-licensed paralegals (“Providers”) under a separate engagement between the Member and the Provider.”
2. Membership Benefits
2.1 The Company will provide the Member with:

Access to an online platform for ticket submission.

Assignment of a qualified attorney from a pre-vetted network to review and represent the Member in traffic ticket cases.

Regular updates on case progress via email or the online portal.
2.2 The Services are limited to legal representation related to traffic ticket disputes and do not include any roadside assistance, insurance coverage, or non-traffic related legal matters. 2.3 No outcome is guaranteed; reductions/dismissals depend on facts, evidence, and tribunal/court discretion.
2.4 Tickets issued prior to the Effective Date or within the first 20 calendar days of membership are not included under standard Services and may require additional fees, as outlined in Section 4.5.
2.5 The Company reserves the right to limit service in cases of excessive or abusive use, including submission of an unusually high number of tickets that place disproportionate demand on legal resources. Members will be notified if such a limit is reached, and may be required to pay additional fees for continued representation.
2.6 In jurisdictions where the Company does not have legal coverage, Members may be eligible for reimbursement or direct legal fee support as outlined in Section 6.
3. Membership Term and Termination
3.1 Term: This Agreement commences on the Effective Date and continues on a month-to-month basis. 3.2 Termination by the Member: The Member may cancel the membership at any time by providing written notice (or via the online cancellation form). Cancellation will be effective at the end of the current billing cycle. 3.3 Termination by the Company: The Company reserves the right to terminate the membership if the Member fails to comply with any term of this Agreement. In such an event, no refund will be provided for the current billing period.
3.4 Effect of Termination: Upon termination, the Member will lose access to the Services, including legal representation under the standard Subscription Fee. If the Member has an active or ongoing traffic ticket case at the time of cancellation, the Company may, at its discretion:

Continue to handle the case under the original terms,

Offer continued support for an additional flat fee, or

Cease involvement in the case entirely.
The Member acknowledges that cancellation during an active case may result in additional legal fees or the loss of preferential flat-rate pricing, depending on the stage and complexity of the case.
4. Subscription Fee and Payment Terms
4.1 The Member agrees to pay a Subscription Fee of CAD $39 per month (or an equivalent amount as determined by the Company), payable in advance. 4.2 Payments will be automatically debited from the Member’s designated bank account or charged to the Member’s credit card on a recurring monthly basis. 4.3 In the event of a payment failure, the Company may suspend the Services until the outstanding balance is settled. 4.4 The Subscription Fee is non-refundable except as provided in Section 3.2 regarding cancellation, or in cases of erroneous billing at the discretion of the Company.
4.5 Tickets issued prior to the Effective Date or within the first 20 calendar days following the Effective Date are not covered under the standard Subscription Fee. If the Member wishes the Company to assist with such tickets, an additional case fee will apply. The amount and terms of this fee will be communicated to the Member in advance for approval. Failure to pay the applicable fee may result in the Company declining to provide Services for those tickets.
5. Member Obligations
5.1 The Member agrees to provide accurate and up-to-date personal and vehicle information during registration. 5.2 The Member shall promptly upload any traffic citation or related documentation via the online platform when required. 5.3 The Member agrees to cooperate with the Company and the assigned attorney in providing any additional information necessary for the case.
5.4 If the Member wishes to request assistance with tickets received before the Effective Date or within the first 20 calendar days of membership, they must agree to the applicable additional case fee in accordance with Section 4.5.
6. Legal Representation
6.1 The Company acts solely as an intermediary by connecting the Member with a qualified attorney. The attorney is an independent contractor and is not an employee of the Company. 6.2 The scope of the attorney’s representation will be limited to contesting the traffic ticket. The outcome of any case is not guaranteed. 6.3 The attorney’s fees for covered cases are negotiated by the Company and will not be charged separately to the Member. Company may subsidize a portion of Provider fees (capped amounts), not contingent on outcome, with no control over the Provider’s professional judgment.
6.4 The Services apply to traffic violations that are eligible for legal defense under provincial or municipal law, such as speeding, improper lane changes, and failure to obey signs. The Company reserves the right to decline coverage for offenses that are non-contestable, criminal in nature, or otherwise outside the typical scope of traffic ticket disputes.
6.5 In the event that the Company is unable to assign a qualified attorney within its network due to lack of coverage in the jurisdiction where the Member received a traffic ticket, the Member may be eligible to retain their own legal counsel. The Company may cover legal fees for such out-of-network representation up to a maximum amount of CAD $400 per ticket, subject to prior written approval.
6.6 If the Member pays for legal services in such out-of-network cases, they may request reimbursement by submitting valid documentation, including a copy of the traffic citation, a paid invoice from a licensed attorney, and a description of the outcome. Reimbursement requests must be submitted within 30 days of payment and are subject to review and approval at the Company’s sole discretion.
7. Disclaimers and Limitations of Liability
7.1 The Company does not guarantee any outcome in any legal proceeding and makes no representations regarding the success rate of the Services. 7.2 The Company shall not be liable for any losses, damages, or costs arising from:

The Member’s reliance on legal advice provided by the independent attorney.

Any delays or errors in the case submission or handling process.
7.3 The Services provided under this Agreement are for legal defense against traffic tickets only and exclude representation for criminal charges, parking fines, or any claims not explicitly covered herein.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Ontario.
9. Entire Agreement and Amendments
9.1 This Agreement constitutes the entire agreement between the parties regarding the Services and supersedes all prior discussions, understandings, or agreements. 9.2 Any amendment or modification to this Agreement must be made in writing and signed by an authorized representative of the Company.

11. Privacy and Data Use
The Company will collect and use the Member’s personal information solely for the purposes of providing the Services outlined in this Agreement. Information may be shared with legal representatives strictly on a need-to-know basis. All data is handled in accordance with applicable Canadian privacy laws. The Member consents to the use of their information for these purposes.
Member Acknowledgement
By completing the online registration, the Member acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Membership Agreement.
